Lewis Design Works - Terms & Conditions

By approving a quote, submitting payment, or engaging our services, you agree to the following terms and conditions. These terms apply to all services offered by Integrated Media & Design Solutions, Inc. ("IMDS"), including services rendered through its DBAs: Lewis Design Works, Chikka Magazine (chikkamagazine.com), and Bongga.com. These terms are available at www.lewisdesignworks.com/terms-and-conditions.


1. Engagement & Acceptance

By submitting payment or confirming a project with IMDS or any of its DBAs, you ("Client") acknowledge and agree to be bound by these Terms. No signature is required. These terms are referenced at the bottom of all invoices and quotes and serve as the controlling agreement.


2. Scope of Work

Project scope, deliverables, and pricing are clearly outlined in the approved quote or proposal. Any significant changes to project requirements may require a revised quote. Add-ons, expansions, or additional support are quoted separately. Certain sites or platforms operated by IMDS (e.g., Bongga.com, ChikkaMagazine.com) may have additional or platform-specific terms of service that apply in conjunction with these general terms.


3. Payment Terms

  • Projects under $2,000: Full payment is due up front.

  • Projects $2,000 or more: 50% deposit is required to begin. Remaining balance is due prior to delivery or within 45 days of start, whichever comes first.

  • Monthly services (e.g., SEO, hosting, chatbot support): Billed monthly and due upon receipt. May be paused or canceled with 15-day written notice.

  • Late Payments: A 5% late fee applies after 14 days. IMDS reserves the right to pause services for accounts over 30 days past due.


4. Hosting, Technology, and Security

IMDS provides hosting and care plans for websites and chatbots we manage. We use industry-standard tools and reasonable security practices. We do not guarantee 100% uptime, but we monitor systems regularly and respond promptly to any issues.

Clients are responsible for keeping passwords and admin access secure. We reserve the right to restrict or revoke access to prevent service disruption or abuse.

  • AI Chatbot Platform Hosting & Account Management - For chatbot services, IMDS/Lewis Design Works provisions and manages all required accounts on third-party AI platforms as part of your service. Clients are not required to purchase or maintain their own platform subscriptions. All hosting, maintenance, and administrative control remain with IMDS/Lewis Design Works for the duration of the engagement. Clients receive full benefit of chatbot features as outlined in their service plan.

  • Export, Transfer, or Release of AI Chatbots If a client requests an export, transfer, or release of their AI chatbot (including but not limited to bot logic, conversation flows, or platform account ownership), IMDS/Lewis Design Works reserves the right to charge a reasonable service fee. This fee will be quoted in advance and will be based on the complexity, time required, and any third-party platform costs involved. Export or transfer of any chatbot is subject to the technical capabilities and licensing terms of the underlying platform. IMDS/Lewis Design Works is not obligated to provide a transfer or export unless all outstanding balances are paid in full.

5. Deliverables & Revisions

We strive to deliver all work on time and to specification. Reasonable revisions are included unless otherwise stated in your plan or quote. Extensive changes or scope creep may require additional billing.

Content or creative input must be delivered in a timely manner. Project delays caused by lack of client input may affect delivery timelines and do not entitle the client to refunds.


6. Intellectual Property & Portfolio Use

Clients own all custom work created once payment is made in full. We reserve the right to showcase completed projects in our portfolio, marketing materials, or case studies unless explicitly requested otherwise in writing.

Codebases or platforms used (e.g., templates, CMS frameworks, chatbot platforms) remain subject to their respective licenses. IMDS retains internal libraries, tools, and frameworks developed over time.

In community journalism and news contexts, IMDS may publish likenesses, quotes, or appearances under editorial fair use for reporting and promotional purposes. Requests for removal or credit updates will be reviewed reasonably.


7. Third-Party Tools & Integrations

Many services may rely on third-party tools, APIs, or platforms (e.g., CRM integrations, Google services, chatbot hosting platforms). While we configure and monitor them for your benefit, we are not responsible for third-party outages, policy changes, or platform discontinuation.

  • Content Formatting & Presentation Plugins Lewis Design Works may install or configure lightweight plugins or modules solely for the purpose of formatting, presenting, or enabling contracted content to function as intended (e.g., blog posts, forms, or visual blocks). These additions are kept minimal, do not interfere with existing site performance or styling, and may be removed or replaced by the client at any time without penalty.

8. Client Responsibilities

Clients must:

  • Provide required content, assets, and approvals in a timely manner.

  • Keep their billing information up to date.

  • Respect the communication boundaries set forth in the service tier.


9. Refunds & Cancellations

Due to the custom nature of our services, all deposits and completed work are non-refundable. Monthly services may be canceled with 15-day notice, and prepaid unused services will be reviewed for partial credit at IMDS's discretion.


10. Warranty & Limitation of Liability

Ecommerce products sold through Bongga.com are offered and managed solely by IMDS. While we aim for a smooth shopping experience, we make no guarantees regarding availability, delivery speed, or product performance. All sales are governed by Bongga.com's Terms of Sale, available on that website.

Our maximum liability is limited to the amount paid for services within the last 60 days.

Ecommerce integrations or sales enablement services offered through IMDS (including Bongga.com or third-party plugins) are offered without warranty. IMDS is the sole seller of products and services through Bongga.com and retains full responsibility for fulfillment, customer service, and compliance. Clients purchasing advertising or directory listings are responsible only for their submitted content and payment obligations. All retail sales are subject to the separate Bongga.com Terms of Sale.


11. Dispute Resolution & Jurisdiction

Any disputes will be resolved under the laws of the State of Arizona. Venue shall be Maricopa County. We strive to resolve concerns informally first.


12. AI Tools & Chatbot Disclaimers

IMDS uses AI tools, including chatbots and digital assistants such as "Lewis AI," to support and enhance services. These systems may rely on generative models and occasionally produce inaccurate or misleading responses. Information provided by our AI tools is non-binding, intended for general support purposes only, and should not be relied upon as legal, financial, or operational advice.

Clients are solely responsible for verifying information received via AI before making business decisions.


13. Policy Changes

These terms may be updated from time to time and will always be available at www.lewisdesignworks.com/terms. Continued use of our services constitutes acceptance of any updates.

Additional or product-specific terms may apply to services related to Bongga.com, ChikkaMagazine.com, or any other digital properties we operate. When applicable, those will be posted directly on the respective platform.


14. Hosting & Maintenance Commitment

All website packages that include hosting and maintenance (our “care plan”) require a 12‑month minimum commitment beginning at the date of project completion and launch. This commitment becomes binding upon acceptance of the quote and initial payment.

Early Cancellation: If hosting is terminated before the 12 months are up, a cancellation fee equal to 50% of the remaining balance on the 12‑month term is due immediately.

After the 12‑month period, hosting may be canceled anytime with 30 days written notice.

This policy ensures continuity of service and fair compensation for included security updates, backups, and technical support.


15. Client Support & Dispute Resolution 

For billing questions or disputes, email support@lewisdesignworks.com . We aim to respond within 2–5 business days. Disputes will be resolved under the cancellation and payment terms above.


16. AI and Automation Tools Disclaimer   

Some services provided by Lewis Design Works involve AI-powered tools, including but not limited to chatbots, voice assistants, and AI-generated content. These tools rely on third-party platforms and data sources and are subject to inherent limitations, including:

  • Inaccuracies or hallucinated outputs: AI responses may be imprecise, outdated, or inappropriate for specific contexts.

  • Downtime or service interruptions: AI tools may become temporarily unavailable due to third-party outages, rate limits, or API changes outside our control.

  • Client responsibility: Clients are solely responsible for reviewing, approving, and monitoring AI-generated content used in any public-facing application or communication. Lewis Design Works does not assume liability for decisions made or actions taken based on AI-generated responses.

While we strive to deliver useful and reliable automation, all AI-assisted outputs should be treated as informational only and not as professional, legal, or medical advice. Clients using AI tools must verify any critical or sensitive content independently.


17. Client Responsibilities and Scope of Services

All services provided by Lewis Design Works are subject to the scope, pricing, and limitations as stated in the corresponding proposal, invoice, or flat-rate offer. Unless otherwise agreed in writing:

  • AI chatbot and automation tools include only the features, flows, and integrations listed in the original scope. Requests for new flows, expanded logic, third-party API connections, or re-training beyond the initial delivery may require a new quote.

  • Web design packages include the number of pages and features specified at the time of purchase. Additional functionality, revisions beyond the initial round, or content provided late may extend timelines or require additional billing.

  • SEO services are offered on a monthly retainer basis. We do not provide performance guarantees or engage in backlink building or paid advertising.

  • Client input and approvals are required at key stages. Delays in providing content, feedback, or access may affect delivery timelines.

  • Deliverables are considered complete when the agreed-upon scope has been met. Minor edits are included, but repeated or material changes outside the original agreement may incur additional charges.

We aim to maintain clarity and fairness in all our work. If at any point the direction or requirements change, we’ll provide options and costs in writing before proceeding.
